As part of management’s commitment to ensure high ethical standards and to provide all employees with a means to communicate any concerns that pertain to financial accounting and reporting matters, we have established a financial accounting and reporting phone line. Specifically, the purpose of this phone line is to communicate any concerns regarding the propriety of accounting matters, internal accounting controls or auditing matters directly to executive management and the Audit Committee of the Board of Directors. This phone line is to be utilized solely for these purposes. All reports of suspected wrongdoing will be fully investigated. All calls will remain anonymous, unless you wish to disclose your identity.

We have contracted with an independent company, Global Compliance Services, that will provide a dedicated phone line (“AlertLine”) for 24-hour communication of accounting, internal control and auditing matters to a trained specialist. Callers are assigned an identification number and security code; anonymous callers are given the opportunity to follow up with Global Compliance Services at a later time, providing a two-way communication. A written report of each call will be sent to a designated member of management and the Audit Committee.
